Note that we require that any work arising from use of sDNA includes the citations shown here.  Please don’t be shy – the publicity helps both us and you, as demonstrating impact helps us to get more funding to further develop sDNA.

sDNA Licence Agreement

This Agreement, is made between the parties

  1. University College Cardiff Consultants Limited, 30-36 Newport Road, Cardiff, CF24 0DE, United Kingdom (UC3);
  2. Cardiff University an institution established under royal charter with administrative offices at 30-36 Newport Road, Cardiff CF24 0DE, United Kingdom (the UNIVERSITY); and
  3. The LICENSEE, being the individual, organization or agent who downloads, installs or uses the sDNA Package (SOFTWARE) comprising the software program and associated documentation.

The LICENSEE may obtain a copy of the SOFTWARE by downloading it from a server. The copyright and other intellectual property rights in the SOFTWARE are and remain the property of UC3.

By downloading, installing or using the SOFTWARE, the LICENSEE accepts all of the terms and conditions of this Agreement.

  1. LICENSEE represents and warrants that they are authorised to enter into this Agreement. If the terms of this entire Agreement are not acceptable, all copies of the SOFTWARE held by the LICENSEE must be destroyed immediately.
  2. The SOFTWARE and related documentation are copyrighted works of authorship. UC3 retains ownership of the SOFTWARE and all subsequent copies of the SOFTWARE, regardless of the form in which the copies may exist. This licence agreement does not constitute a sale of the original SOFTWARE or any copies.
  3. The SOFTWARE is licensed for use by the LICENSEE only. The LICENSEE may not rent, lease, sub-license, sell, assign or otherwise transfer the SOFTWARE.
  4. The LICENSEE agrees that all published work resulting from use of the SOFTWARE shall make proper reference to the SOFTWARE and its specification in the following way:

  1. The LICENSEE shall ensure that the SOFTWARE is protected against unauthorised copying.
  2. Except with prior written permission from UC3 or as expressly provided for in this Agreement, the LICENSEE may not extract any part of the SOFTWARE for incorporation into other programs, or modify, reverse-engineer, translate, decompile or otherwise misuse the SOFTWARE, or circumvent the mechanisms by which the SOFTWARE checks it is correctly licensed. Use of the Python and other scripting interfaces to the SOFTWARE is permitted, on the basis that any user of software that connects to these interfaces has themselves installed the SOFTWARE under the terms of this agreement. In cases where the sDNA software is used in conjunction with third party software packages, it is the responsibility of the licensee to ensure they have correct licenses in place for third party software.
  3. The LICENSEE agrees that its contact details, and a hardware fingerprint of any machine on which LICENSEE has installed sDNA, may be held by the UNIVERSITY on a secure database (in accordance with Data Protection law) and shall be used for the purposes of (1) SOFTWARE licence administration, (2) reporting, (3) if user consent is given and maintained, marketing of sDNA.
  4. This data shall be retained according to the GDPR for so as they apply to the United Kingdom, the European General Data Protection Regulation 2016 ((EU) 2016/679) and any national implementing laws, regulations and secondary legislation; and by the UK Data Protection Act 2018 and any regulations made pursuant to it; any other laws and regulations relating to the processing of personal data and privacy which apply to a Party; and, if applicable, the guidance and codes of practice issued by any competent data protection supervisory authority.
    1. Neither the UNIVERSITY nor UC3 shall be under any obligation to provide assistance of any kind in the installation or execution of the SOFTWARE.
    2. The SOFTWARE is supplied “as is”, without warranty, representation or guarantee of any kind, either expressed or implied, including, but not limited to, any implied warranties of quality, merchantability, fitness for a particular purpose or ability to achieve a particular result. The LICENSEE assumes the entire risk as to the quality and performance of the SOFTWARE. Should the SOFTWARE prove defective, the LICENSEE assumes the entire cost of all necessary servicing, repair or correction. Neither the UNIVERSITY nor UC3 warrant that the SOFTWARE will meet the requirements of the LICENSEE or the correctness of the code.
    3. Neither the UNIVERSITY nor UC3 make any representation or warranty that use of the SOFTWARE will not result in the innocent infringement of third-party intellectual property rights. Neither the UNIVERSITY nor UC3 accept any responsibility whatsoever for infringement of such rights.
    4. Save in respect of claims for death or personal injury arising from the UNIVERSITY and/or UC3 negligence, in no event will either the UNIVERSITY or UC3 be liable for any damages resulting from loss of data or use, lost profits, loss of anticipated savings, nor for any damages that are an indirect or secondary consequence of any act or omission of the UNIVERSITY or UC3 (as the case may be), whether such damages were reasonably foreseeable or actually foreseen.
    5. This Agreement shall come into effect from the date on which the first download of the SOFTWARE is made and shall remain in full force and effect for an indefinite period, save that the Agreement may be terminated by any party on giving 30 days written notice to the other parties. The UNIVERSITY or UC3  may terminate this Agreement immediately and without warning at any time if LICENSEE is found to be in breach of any of the terms of this Agreement.
    6. On termination of this Agreement, all copies of the SOFTWARE in possession of the LICENSEE shall be destroyed immediately (the UNIVERSITY reserves the right to render the SOFTWARE inoperable remotely).

spatial Design Network Analysis+ (sDNA+) Licence Agreement
(applies only if sDNA+ upgrade code is purchased)

This Agreement, is made between the parties

  2. Cardiff University an institution established under royal charter with administrative offices at 30-36 Newport Road, Cardiff CF24 0DE, United Kingdom (the UNIVERSITY); and
  3. The LICENSEE, being the individual, organization or agent who downloads, installs or uses the sDNA+ Package (SOFTWARE) comprising the software program and associated documentation.

The LICENSEE, having purchased one or more single user licenses of the SOFTWARE, may obtain copies of the SOFTWARE by downloading it from a server.  The copyright and other intellectual property rights in the SOFTWARE are and remain the property of UC3.

By downloading, installing or using the SOFTWARE, the LICENSEE accepts all of the terms and conditions of this Agreement.

  1. The LICENSEE shall ensure that the SOFTWARE is protected against unauthorised copying.
  2. Except with prior written permission from UC3 or as expressly provided for in this Agreement, the LICENSEE may not extract any part of the SOFTWARE for incorporation into other programs, or modify, reverse-engineer, translate, decompile or otherwise misuse the SOFTWARE, or circumvent the mechanisms by which the SOFTWARE checks it is correctly licensed. Use of the Python and other scripting interfaces to the SOFTWARE is permitted, on the basis that any user that connects to these interfaces must also have purchase a single user license to use the SOFTWARE. In cases where the sDNA+ software is used in conjunction with third party software packages, it is the responsibility of the licensee to ensure they have correct licenses in place for third party software.
  3. This Agreement shall come into effect from the date on which UC3 receives payment of the agreed licence fee from the LICENSEE and shall remain in full force and effect until the expiry of any sDNA+ unlock codes issued, which will be issued on the agreed date(s) for the agreed duration(s). Save that the Agreement may be terminated by any party on giving 30 days written notice to the other parties. The UNIVERSITY or UC3  may terminate this Agreement immediately and without warning at any time if LICENSEEis found to be in breach of any of the terms of this Agreement.
      1. On termination of this Agreement, all copies of the SOFTWARE in possession of the LICENSEE shall be destroyed immediately (the UNIVERSITY reserves the right to render the SOFTWARE inoperable remotely).
